Terms of Service

1. Who we are and what this is

AutoGenie.ie (the “Service”) is a trading name of OhTooWon Limited, a company registered in Ireland (CRO 817254), which operates the Service. By using the Service you agree to these Terms. If you don't agree, please don't use the Service.

In these Terms, “AutoGenie”, “we”, and “us” mean OhTooWon Limited. “You” means anyone who uses the Service, whether as a buyer, a dealer, or a casual visitor.

2. What the Service is

AutoGenie is an online marketplace that connects buyers of new and used motor vehicles with dealers in Ireland. We list vehicles on behalf of dealers and pass buyer enquiries through to the relevant dealer.

We are not a party to any sale of a vehicle. Any transaction between a buyer and a dealer is solely between those two parties. We don't take custody of vehicles, we don't take buyer payments for vehicles, we don't broker the deal, and we don't represent either side. We facilitate introductions and then step back.

3. Eligibility

You must be at least 18 years old and capable of entering into a binding contract under Irish law to use the Service.

4. Accounts

Dealer accounts. To list vehicles you must register a dealer account. You must provide accurate, current, and complete information, and keep it up to date. You're responsible for everything done under your account, so keep your sign-in credentials secure.

Account verification. New dealer accounts are subject to manual verification before listings become publicly visible. We may request reasonable evidence (such as business registration, motor trade licence, or VAT number) and may refuse or revoke verification at our discretion.

Buyer accounts. Buyers don't need an account to browse listings or submit enquiries.

5. Dealer obligations

If you list a vehicle on AutoGenie, you warrant that:

• You are a motor dealer trading in Ireland and are entitled to sell the vehicles you list.
• All information about each listed vehicle (make, model, year, mileage, price, condition, NCT status, ownership history, etc.) is accurate, complete, and not misleading.
• You hold valid title to the vehicle, or are properly authorised to offer it for sale, and the vehicle is free from undisclosed finance, encumbrance, or legal restriction.
• The photos you upload are your own or used with permission and don't infringe anyone else's rights.
• Your listings, your dealings with buyers, and your conduct on the Service comply with all applicable Irish law including the Consumer Rights Act 2022, the Sale of Goods and Supply of Services Act 1980, the Consumer Protection Act 2007, and the Road Traffic Acts.
• You will respond to buyer enquiries promptly and honestly.
• You will not list vehicles you don't actually have in stock, and you will withdraw listings within 24 hours of a vehicle being sold or no longer available.

You are responsible for your listings. We do not vet the accuracy of dealer-supplied listing content before publication. If a dealer makes a false or misleading representation about a vehicle, the dealer is liable to the buyer, not AutoGenie.

6. Buyer responsibilities

Buyers should treat any listing on AutoGenie as the dealer's representation, not ours. We strongly recommend you:

• Inspect any vehicle in person before purchase.
• Verify the vehicle's history independently (NCT, mileage, finance status).
• Ensure any contract of sale is signed directly with the dealer.

If a buyer believes a listing or dealer has misled them, they have rights against the dealer under Irish consumer law. We are happy to remove listings that breach these Terms, but we are not a party to the dispute.

7. Prohibited use

You must not:

• Use the Service for anything illegal, fraudulent, or harmful.
• Misrepresent your identity or your status as a dealer.
• List vehicles you don't own or aren't authorised to sell.
• List stolen, cloned, or otherwise unlawful vehicles.
• Use automated tools to scrape, harvest, or index the Service without our written permission.
• Interfere with the technical operation of the Service, attempt unauthorised access, or test our security without permission.
• Spam, harass, or send unsolicited marketing to other users.
• Use the Service to discriminate against any protected group.

We may suspend or terminate access to the Service immediately for any breach of this section.

8. Subscriptions and payment (dealers)

Paid dealer tiers are billed through Stripe on a recurring monthly or annual basis as set out at the point of subscription.

• Pricing: current pricing is shown on the dealer signup and pricing pages. We may change pricing on 30 days' notice to existing subscribers.
• Trials: if your subscription includes a free trial, you can cancel any time during the trial at no charge.
• Cancellation: you can cancel any time from your dealer dashboard. Your access continues until the end of the current billing period; we do not pro-rata refund partial periods.
• Failed payments: if a payment fails we'll attempt to retake it; if it continues to fail we may downgrade your account.
• Listing fees: any per-listing fees, if applicable, will be clearly disclosed before you incur them.

All prices are quoted in euros and are inclusive of Irish VAT where applicable.

9. Our content and your content

Our content. AutoGenie's site design, software, branding, and editorial content are owned by OhTooWon Limited or our licensors. You may not copy, adapt, or republish any of it without permission, except for normal browsing and personal use.

Your content. You keep ownership of the listings, photos, and other content you upload. By uploading content to AutoGenie, you grant us a worldwide, non-exclusive, royalty-free licence to host, display, distribute, and otherwise use that content for the purpose of operating and promoting the Service. This licence ends when you remove the content, except where we need to retain a copy for legal reasons (see our Privacy Policy).

10. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law we exclude all warranties, conditions, and representations not expressly stated in these Terms.

In particular: we make no warranty about any vehicle listed on AutoGenie, any dealer who lists on AutoGenie, or any buyer who contacts a dealer through AutoGenie. All vehicle listings are dealer-supplied. We do not inspect vehicles, verify mileage, or audit dealer claims.

11. Limitation of liability

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under Irish law, including liability for death or personal injury caused by our negligence, for fraud, or under the Consumer Rights Act 2022.

Subject to the above:

• We are not liable for any losses arising from a transaction or dispute between a buyer and a dealer.
• We are not liable for indirect, consequential, or purely economic losses (such as lost profits, lost business, lost data, or loss of opportunity).
• Our total aggregate liability to any one user in any 12-month period is limited to the greater of (a) the amount that user paid us during that period, or (b) €100.

12. Indemnity

If you're a dealer, you agree to indemnify and hold harmless OhTooWon Limited against any claim, loss, or cost (including reasonable legal fees) arising from (a) a breach of these Terms by you, (b) any listing you publish, or (c) any transaction or interaction between you and a buyer that originated through the Service.

13. Suspension and termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms, if we are required to by law, or if continued provision becomes commercially or technically infeasible. You may close your account at any time from your dashboard.

14. Changes to these Terms

We may update these Terms from time to time. For material changes affecting dealers, we will give at least 30 days' notice by email. Continued use of the Service after the notice period counts as acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Ireland. Any dispute that can't be resolved between us will be subject to the exclusive jurisdiction of the courts of Ireland.

If you're a consumer based in another EU member state you may also have the right to bring proceedings in your local courts and benefit from any mandatory consumer protections of your home jurisdiction.

16. General

If any provision of these Terms is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver. You may not transfer your account or rights under these Terms without our written consent. These Terms (with the Privacy Policy and Cookie Policy) are the whole agreement between you and us in relation to the Service.
